yes, I have 2 groups which are totally private and membership is restricted.
and Bruce is correct that no one can use the same group name.

Yes. Got to Admin->Settings->Privacy and select "not listed in directory, private archives. Under Spam Control select "Restricted Membership." Be sure to save your changes.

If so what happens if a new "owner" tries to use the same group name?
I believe they will get an error message stating that name is unavailable or previously used. Someone who has actually experienced it could tell you for sure...but they way sets up URLs and list addresses such duplicate names would cause all kinds of collisions.
